Terms of Service
Effective at launch
These terms are an agreement between NF Labs LLC, doing business as AffirmDME ("AffirmDME," "we"), and the business that creates an account ("you," "customer"). By using the service you agree to them. AffirmDME is a business tool for U.S. durable medical equipment (DME) suppliers and their staff; it is not offered to consumers.
1. The service
AffirmDME is software that helps DME suppliers prepare, track, and manage Medicare prior-authorization documentation — including AI-assisted document reading, readiness checks against Medicare requirements, prescriber outreach, e-signature, and related workflow features. Features vary by plan.
2. Accounts and workspaces
You're responsible for the accuracy of your account information, for the people you invite to your workspace, and for keeping credentials confidential. Workspace administrators control membership and roles.
3. PHI and the Business Associate Agreement
Using the service with protected health information requires an executed Business Associate Agreement between us. Do not upload PHI until your BAA is signed (signing happens during onboarding). For PHI, the BAA controls over these terms and our Privacy Policy. You are responsible for having the patient authorizations and legal bases your own use requires.
4. Plans, fees, and billing
- Pricing is published on our site: pay-as-you-go per-case pricing and per-location subscription plans with included case volumes and per-case overage rates. Location counts and case usage determine charges; overages are billed per location on the next invoice.
- Fees are billed through Stripe. Subscriptions renew monthly until canceled; you can change plans in the app.
- We may change pricing with at least 30 days' notice; changes apply at your next billing period.
- Fees are non-refundable except where required by law or expressly stated.
5. Acceptable use
Don't misuse the service: no unlawful use, no attempting to breach or probe security, no reselling the service, no uploading content you lack rights to process, and no use to send unsolicited communications. We may suspend accounts that put the service or other customers at risk, and will tell you why unless the law prevents it.
6. Your data
You own your customer content. You grant us the limited rights needed to operate the service (store, process, transmit, display it to your authorized users, and process it with our AI features). We don't sell customer content or use it to train AI models. On termination you may export your data, and we'll return or delete it as the BAA provides.
7. AI features — human review required
AI-assisted features (document extraction, readiness checks, drafted ADR responses) are decision support, not decisions. Outputs can be incomplete or wrong and must be reviewed by qualified staff before submission or reliance. AffirmDME does not provide medical, legal, billing, or coding advice, and does not guarantee that any prior authorization will be affirmed or any claim paid. You remain responsible for your submissions.
8. Availability and support
We work to keep the service available and performant, but it is provided without an uptime guarantee at this time. Support is available at hello@affirmdme.com.
9. Term and termination
You can stop using the service and cancel at any time; paid periods already billed aren't refunded. We may terminate for material breach (including non-payment) with notice and a reasonable chance to cure where practical. Sections that by their nature should survive (fees owed, data provisions, disclaimers, liability limits) survive termination.
10. Disclaimers
The service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages; and our total aggregate liability under these terms is capped at the fees you paid us in the twelve months before the event giving rise to the claim. These limits don't apply to your payment obligations or either party's breach of the BAA to the extent the BAA says otherwise.
12. Indemnification
You'll defend and indemnify us against third-party claims arising from your content or your use of the service in violation of these terms or law; we'll defend and indemnify you against third-party claims that the service itself infringes their intellectual property.
13. General
These terms plus the BAA and any order form are the entire agreement; if they conflict, the BAA controls for PHI. Governing law and venue: the State of Nevada (Clark County), excluding conflicts rules. We may update these terms with notice; continued use after the effective date is acceptance. Neither party may assign without consent, except to a successor in a merger or asset sale.
